Terms of Service for Ship Your AI LLC

These Terms of Service (“Terms”) govern your use of the services provided by Ship Your AI LLC (“we,” “our,” or “us”). By engaging with our services, you agree to these Terms. Please read them carefully before using our AI consulting and integration services.
1. Acceptance of Terms
By using our services, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services. We reserve the right to modify these Terms at any time, and such modifications will be effective upon posting.
2. Scope of Services
Ship Your AI LLC provides AI consulting and integration services, specializing in the implementation of Retrieval-Augmented Generation (RAG) and other AI-based solutions. Our services are tailored to each client’s unique needs and are provided in accordance with the agreed-upon statement of work.
3. Privacy and Data Handling
We take your privacy seriously. During the course of our services, we do not store, retain, or process any of your sensitive data on our systems. All data remains securely stored on your own infrastructure. We are committed to assisting you with integration while ensuring that your data remains entirely under your control.
4. AI Model Inaccuracies and Limitations
AI models, including those powered by large language models (LLMs), have inherent limitations. They may generate incorrect or inaccurate information, including retrieving imprecise or irrelevant results. While we strive to implement and configure these solutions to optimize performance, we do not guarantee the accuracy or reliability of the outputs generated by AI systems.
5. No Liability for Data Loss
We are not liable for any data loss, corruption, or breaches that may occur during the course of using our services or the implemented AI systems. As stated above, all data remains within your infrastructure, and it is your responsibility to ensure data backups, security, and compliance with applicable laws and regulations.
6. No Warranty
Our services are provided “as-is” without any warranties, express or implied. We do not guarantee that the AI systems will be error-free, uninterrupted, or meet your specific requirements. We disclaim all liability for any outcomes, errors, or malfunctions resulting from the use of our AI solutions.
7. Limitation of Liability
To the maximum extent permitted by law, Ship Your AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or use, whether in an action in contract, tort (including negligence), or otherwise, arising out of or in connection with your use of our services. Our total liability for any claim arising out of or relating to these Terms or our services will not exceed the fees paid by you for the services in the twelve months preceding the claim.
8. Final Sale and No Refunds
All sales of our services are final. No refunds will be issued after services have been rendered. By engaging our services, you acknowledge and agree that you have reviewed the scope of work and accept the terms of payment.
9. Ownership of Intellectual Property
Unless otherwise agreed upon in writing, any AI models, code, or proprietary algorithms developed by Ship Your AI LLC during the course of the project remain our intellectual property. You are granted a limited, non-exclusive license to use any deliverables solely for the purposes outlined in the agreed-upon statement of work.
10. Client Responsibilities
You are responsible for providing the necessary infrastructure, access, and support to facilitate our integration services. You are also responsible for the use and management of any AI systems post-integration, including maintaining the systems and ensuring they are used in compliance with all applicable laws and regulations.
11. Confidentiality
We agree to maintain the confidentiality of your sensitive business information and any proprietary data that you share with us during the course of our services. This confidentiality obligation will remain in effect indefinitely, even after the conclusion of our engagement.
12. Termination
We reserve the right to terminate or suspend your access to our services at any time, with or without cause, and without prior notice. Upon termination, all rights and licenses granted to you under these Terms will immediately cease.
13. Governing Law
These Terms will be governed by and construed in accordance with the laws of the state of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Travis County, Texas, USA.
